We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of the Service.

4. Subscription Plans and Payments

4.1 Subscription Tiers

FileFree offers multiple subscription tiers with different features and pricing:

• Starter Plan: Limited features, billed monthly or annually
• Basic Plan: Enhanced features including limited bank account sync, billed monthly or annually
• Professional Plan: Advanced features including multi-account sync, billed monthly or annually
• Enterprise Plan: Full feature access with unlimited accounts, billed monthly or annually

4.2 Billing and Payment

• Advance Billing: Subscriptions are billed in advance on a monthly or annual basis, depending on your chosen plan.
• Payment Authorization: By subscribing, you authorize us to charge your designated payment method for the subscription fees.
• Payment Processing: All payments are processed securely through Stripe, a PCI DSS Level 1 certified payment processor. We do not store your credit card information.
• Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date.
• Failed Payments: If a payment fails, we will attempt to charge your payment method again. Continued payment failures may result in suspension or termination of your account.
• Taxes: Prices do not include applicable taxes unless otherwise stated. You are responsible for all sales, use, and other taxes.

4.3 Price Changes

We reserve the right to change subscription prices at any time. Price changes will not affect your current billing period but will apply to subsequent renewals. We will provide at least 30 days' advance notice of any price increases via email. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

4.4 Refund Policy

• Harass, abuse, threaten, or intimidate other users or our staff

• Use the Service in any manner that could damage, disable, overburden, or impair the Service
• Circumvent or attempt to circumvent any security measures or access controls
• Use the Service to store or transmit infringing, libelous, or otherwise unlawful content

We reserve the right to investigate and take appropriate legal action against anyone who violates these Terms, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

6. User Content and Data

You retain all ownership rights to your Content. By uploading or creating Content through the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and distribute your Content solely for the purposes of providing and improving the Service.

6.2 Data Accuracy

You are solely responsible for the accuracy, completeness, and legality of your Content. We do not verify, endorse, or guarantee the accuracy of any user-provided financial data, calculations, or reports.

6.3 Data Security and Privacy

We implement reasonable security measures to protect your data, as described in our Privacy Policy and Security Policy. However, no method of electronic storage or transmission is 100% secure. You acknowledge and accept the inherent security risks of transmitting data over the internet.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service for your personal or business accounting purposes
• Download and print reports generated by the Service for your own use

• Use the Service for commercial purposes (reselling, white-labeling) without express written permission

8. Third-Party Services and Integrations

8.1 Third-Party Service Providers

The Service integrates with third-party service providers to provide functionality:

• Stripe: Payment processing for subscriptions. Subject to Stripe's Terms of Service.
• Plaid: Bank account connection and transaction syncing. Subject to Plaid's End User Privacy Policy.
• Base44: Cloud infrastructure and hosting services.
• Tawk.to: Customer support chat functionality.

8.2 Third-Party Terms

Your use of third-party services through the Service is subject to their respective terms and privacy policies. We are not responsible for the practices, content, or services of third-party providers. You acknowledge and agree that we are not liable for any damages or losses arising from your use of third-party services.

8.3 Bank Account Connections

When you connect your bank accounts through Plaid:

• You authorize FileFree to access your bank transaction data through Plaid on a read-only basis
• Your bank login credentials are transmitted directly to Plaid and are NEVER stored on our servers
• We cannot initiate transfers, move money, or modify your bank accounts
• You may disconnect your bank accounts at any time through your account settings
• We are not responsible for any errors, delays, or failures in bank data synchronization

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO FILEFREE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

9.6 Essential Basis of Bargain

You acknowledge and agree that the disclaimers and limitations of liability set forth in this Section 9 are fundamental elements of the basis of the bargain between you and FileFree, and that FileFree would not be able to provide the Service on an economically reasonable basis without these limitations.

10. Indemnification

You agree to defend, indemnify, and hold harmless FileFree, KNH Financials LLC, and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
• Any Content you upload, create, or transmit through the Service
• Any tax penalties, audits, or regulatory actions resulting from your use of the Service
• Any disputes between you and third parties (including customers, vendors, or financial institutions)

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims.

11. Term and Termination

11.1 Term

These Terms commence on the date you first access or use the Service and continue until terminated by either you or us.

11.2 Termination by You

You may terminate your account at any time by:

• Canceling your subscription through your account settings
• Using the account deletion feature in Settings (permanent deletion)

We reserve the right to suspend or terminate your account and access to the Service, with or without notice, for:

Unless both you and FileFree agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

12.5 Small Claims Court

Notwithstanding the arbitration agreement, either party may bring an individual action in small claims court if the claim qualifies for small claims court jurisdiction.

12.6 Opt-Out

You have the right to opt out of the arbitration agreement by sending written notice to legal@filefree.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and Security Policy, constitute the entire agreement between you and FileFree regarding the Service and supersede all prior agreements, understandings, and communications, whether oral or written.

13.2 Modifications to Terms

We reserve the right to modify these Terms at any time. We will:

• Provide notice of material changes via email and/or in-app notification at least 30 days before the changes take effect
• Update the "Last Updated" date at the top of these Terms
• Post the revised Terms on our website

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and cancel your account.

13.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
